Last Updated: September 23, 2026

These Terms and Conditions ("Terms") govern your use of www.highdominance.com (the "Website") and apply to the accounting, bookkeeping, financial analysis, payroll, and related finance services (the "Services") provided by High Dominance ("High Dominance," "we," "us," or "our").

By accessing the Website or engaging our Services, you agree to these Terms. If you do not agree, please do not use the Website or Services.

1. Engagement Agreements

The specific scope, deliverables, fees, and timelines for any Services are set out in a separate written engagement letter, statement of work, or services agreement (an "Engagement Agreement") signed by High Dominance and the client.

If any part of these Terms conflicts with an Engagement Agreement, the Engagement Agreement controls.

Nothing on the Website constitutes an offer to provide Services. A client relationship begins only when an Engagement Agreement has been signed by both parties.

2. Use of the Website

You agree to use the Website only for lawful purposes. You may not:

  • Use the Website in a way that violates any applicable law or regulation

  • Attempt to gain unauthorized access to the Website, its servers, or related systems

  • Introduce viruses, malware, or other harmful code

  • Copy, scrape, or reproduce Website content for commercial purposes without our written permission

  • Impersonate any person or misrepresent your affiliation with any person or entity

3. Website Content Is Informational Only

Content on the Website is provided for general information about High Dominance and its Services. It is not accounting, tax, legal, or financial advice, and it should not be relied upon as such.

Viewing the Website or contacting us does not create a client relationship. You should consult a qualified professional about your specific situation.

4. Nature of Our Services

High Dominance provides accounting, bookkeeping, financial reporting, financial analysis and forecasting, payroll processing, procure-to-pay, order-to-cash, and related finance operations support.

Our work is prepared in accordance with U.S. Generally Accepted Accounting Principles (U.S. GAAP) where applicable.

Unless expressly stated in an Engagement Agreement:

  • We do not perform audits, reviews, or attestation engagements, and our work does not provide any form of assurance on financial statements.

  • We do not provide tax preparation, tax filing, or legal advice.

  • We are not responsible for detecting fraud, errors, or illegal acts, although we will inform the client of material irregularities that come to our attention.

  • Management decisions remain the client's responsibility. Our financial analysis, forecasts, and recommendations support decision-making but do not replace the client's judgment.

5. Client Responsibilities

To allow us to perform the Services, clients agree to:

  • Provide complete, accurate, and timely information, records, and documentation

  • Grant and maintain appropriate access to relevant systems, bank feeds, and software

  • Designate a point of contact with authority to answer questions and approve work

  • Review deliverables and notify us promptly of any errors or concerns

  • Retain ultimate responsibility for their financial statements, internal controls, payroll obligations, tax filings, and compliance with applicable laws

  • Maintain their own original records and backups

High Dominance is not responsible for errors, delays, or penalties resulting from incomplete, inaccurate, or late information provided by the client or its third parties.

6. Fees and Payment

Fees, billing frequency, and payment terms are set out in the Engagement Agreement. Unless otherwise agreed:

  • Invoices are payable within fifteen (15) days of the invoice date, in U.S. dollars.

  • Late payments may incur a charge of 1.5% per month, or the maximum permitted by law, whichever is lower.

  • We may suspend Services if invoices remain unpaid beyond thirty (30) days after the due date, after giving written notice.

  • Work outside the agreed scope will be quoted and approved in writing before it is performed.

7. Confidentiality

Each party will keep confidential all non-public information received from the other party and will use it only to perform or receive the Services.

This obligation does not apply to information that is publicly available, already known to the recipient, independently developed, or required to be disclosed by law.

All High Dominance team members are bound by written confidentiality obligations. Our handling of personal information is further described in our Privacy Policy.

8. Cross-Border Service Delivery

Our Services are delivered by a nearshore team based in Mexico.

Clients acknowledge and agree that their information and data will be accessed and processed outside the United States as necessary to perform the Services, subject to the safeguards described in our Privacy Policy and Engagement Agreement.

9. Intellectual Property

All content on the Website, including text, graphics, logos, the High Dominance name and brand, and design elements, is owned by or licensed to High Dominance and protected by intellectual property laws. You may not use it without our prior written consent.

Deliverables prepared specifically for a client (such as financial statements, reports, and reconciliations) become the client's property upon full payment.

High Dominance retains ownership of its pre-existing templates, methodologies, tools, and know-how, and may reuse general knowledge and skills gained during an engagement.

10. Third-Party Software and Services

Our Services may involve third-party platforms such as accounting, payroll, banking, or cloud storage software selected by the client or by us.

High Dominance is not responsible for outages, errors, security incidents, or changes in those third-party services, and use of them is subject to their own terms.

11. Disclaimer of Warranties

The Website is provided "as is" and "as available," without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that the Website will be uninterrupted, error-free, or free of harmful components.

We will perform the Services with reasonable care and skill consistent with professional standards. Except as stated in an Engagement Agreement, we make no other warranties regarding the Services.

12. Limitation of Liability

To the fullest extent permitted by law:

  • High Dominance will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, or lost data, arising from the Website or Services, even if advised of the possibility of such damages.

  • High Dominance's total liability for any claim arising from the Services will not exceed the fees paid by the client for the specific Services giving rise to the claim during the three (3) months preceding the claim.

  • High Dominance will not be liable for penalties, interest, or losses resulting from information provided by the client, client decisions, or the client's failure to act on our recommendations.

13. Indemnification

You agree to indemnify and hold harmless High Dominance and its partners, employees, and contractors from any claims, losses, or expenses (including reasonable legal fees) arising from your misuse of the Website, your breach of these Terms, or inaccurate or incomplete information you provide to us.

14. Termination

Either party may terminate an engagement as provided in the Engagement Agreement, or, if the Engagement Agreement is silent, on thirty (30) days' written notice.

Upon termination, the client will pay for all Services performed through the termination date, and we will return or securely delete client data as described in our Privacy Policy, subject to legal retention requirements.

Sections covering confidentiality, intellectual property, limitation of liability, indemnification, and governing law survive termination.

15. Governing Law and Disputes

These Terms are governed by the laws of the State of Jalisco and the federal laws of the United Mexican States, without regard to its conflict-of-law rules.

Any dispute arising from these Terms or the Services will first be addressed through good-faith negotiation.

If not resolved within thirty (30) days, the dispute will be resolved exclusively by the competent courts located in Zapopan, Jalisco, Mexico, and each party consents to that venue.

16. Non-Solicitation

During an engagement and for twelve (12) months afterward, the client agrees not to directly hire or engage any High Dominance team member who worked on the client's account without our prior written consent.

17. General Provisions

  • Entire agreement. These Terms, together with any Engagement Agreement and our Privacy Policy, are the entire agreement between you and High Dominance on these subjects.

  • Severability. If any provision is found unenforceable, the remaining provisions remain in effect.

  • No waiver. Failure to enforce a provision is not a waiver of our right to enforce it later.

  • Assignment. You may not assign your rights under these Terms without our written consent.

  • Force majeure. Neither party is liable for delays caused by events beyond its reasonable control.

  • Changes. We may update these Terms from time to time by posting the revised version on the Website. Continued use of the Website after changes are posted means you accept them. Changes do not affect existing Engagement Agreements unless both parties agree in writing.
